Autoliv Swedish Depository Receipts: Changes to Terms and Conditions, ISIN-code, and Withholding Agent

As a result of Euroclear Sweden terminating its agreement to act as Withholding Agent, Autoliv, Inc. (NYSE: ALV) and (SSE: ALIVsdb) today announces that its Swedish Depository Receipts (SDRs) will be renamed as Autoliv, Inc. Swedish Depository Receipts (SDRs). The SDRs will receive a new ISIN[1] code as of February 29, 2024, with updated terms and conditions. Skandinaviska Enskilda Banken (SEB) will assume the role of Withholding Agent, in its capacity as the issuer of Autoliv Standard Depository Receipts.
Due to the fact that Euroclear Sweden is no longer the Withholding Agent, it is necessary to update the ISIN code in order for SEB to act as the new Withholding Agent.. From the date the new ISIN is effective, it will no longer be possible for Autoliv SDRs to be held as owner registered holdings in a CSD account with Euroclear Sweden (Swedish: VP konto) as of the day the new ISIN takes effect. In case an owner registered holding in a CSD account, (i) it is necessary to transfer such holdings to a custody account with a bank or securities institution acting as a nominee for Euroclear Sweden before February 29, 2024, or (ii) such Autoliv SDRs will automatically be converted to Autoliv Common Stock, which is denominated in U. Listed on the New York Stock Exchange, the company is traded in dollars. Holders of affected SDRs will receive separate information regarding this via mail from Computershare, but they will also have the option of retrieving information on Autoliv's website as outlined in the following paragraphs.

You should note that in order to be able to avoid being subject to so-called double taxation of future Autoliv dividends as an owner of Autoliv SDRs, your bank/custodian/nominee must be a Qualified Intermediary (QI) that has a tax agreement with the US Internal Revenue Service (IRS).. You will be charged higher US withholding tax on dividends if your bank/custodian/nominee does not have a QI tax agreement with the IRS, than if your bank/custodian/nominee has a QI agreement with the IRS. As a consequence, it is essential that you contact the bank/custodian/nominee that holds your SDRs to ensure that it has a QI agreement in place [2].

A new ISIN code will come into effect on February 29, 2024. The last day of trading for the current ISIN code is February 27, 2024. The first day of trading with the new ISIN code will take place on February 28, 2024 on Nasdaq Stockholm. It will not be possible to convert between Autoliv, Inc. Common Stock listed on the New York Stock Exchange and Autoliv SDRs during the period of February 26 through February 29, 2024.
