Following its news release from January 3, 2023, Atmofizer Technologies Inc. (the “Company” or “Atmofizer”) (CSE: ATMO) (Frankfurt: J3K) (OTCQB: ATMFF) announced that its common shares (the “Common Shares”) would begin trading on the Canadian Securities Exchange on a consolidated basis as of the opening of trading on January 12, 2023 (the “Effective Date”), with one (1) post-consolidated Common Share (the “Consolidation”).
Following the Consolidation, there will be approximately 6,687,390 Common Shares issued and outstanding as of the Effective Date, subject to rounding adjustments, with approximately 489,207 Common Shares reserved for issuance. There won’t be any fractional Common Shares issued, and every fraction of a Common Share issued after the Consolidation will be rounded to the nearest whole number of Common Shares. The trading symbol “ATMO” and the name of the company have not changed. The post-Consolidation Common Shares now have a new CUSIP number, 04952E208.
Upon the effective date of the consolidation, the exercise or conversion price and the number of Common Shares issuable under any outstanding convertible instruments of the Company will be proportionally amended.
The transfer agent for the Company, Odyssey Trust Company, will send a letter of transmittal with instructions on how to exchange existing certificates or DRS statements for certificates or DRS statements representing Common Shares on a post-Consolidation basis to shareholders of record as of the Effective Date who hold Common Shares represented by a physical certificate or DRS statement.
