As part of the share buyback programme initiated by the Truecaller AB board of directors, Truecaller AB (publ) (LEI code 549300TEYF1FA5G5GK26) has repurchased in total 375,000 own B shares (ISIN: SE0016787071) in total during the period between 27 November 2023 and 1 December 2023.
This share buyback is part of the share buyback programme announced by Truecaller on 7 June 2023, which will run until the 2024 Annual General Meeting (AGM) which will be held in May 2024, and is carried out in accordance with "Emittentregelverket" which governs the sale and purchase of shares.
The Board of Directors was authorized by the Annual General Meeting of 2023 to purchase back B-shares until the 2024 Annual General Meeting. In light of the new authorization, the company can now make buybacks for a maximum of ten (10) percent of the total number of shares outstanding at the time of the annual general meeting, so long as the company's shareholding does not exceed that amount.
It has been Carnegie's responsibility to carry out the acquisitions on Truecaller's behalf on Nasdaq Stockholm. As a result of these acquisitions, Truecaller will have 24,316,533 B shares and 5,600,000 C shares in its own portfolio on 1 December 2023, which corresponds to 7.85% of Truecaller's total outstanding shares. As of 1 December 2023, Truecaller has a total number of shares outstanding, including its own shares, of 381,187,529. The number of shares outstanding excluding the own shares is 351,270,996.
